# Governance & Upgradability

> Governance mechanisms, upgrade procedures, and decentralization roadmap

The protocol implements a progressive decentralization strategy, starting with admin controls and transitioning to full token-holder governance.

## Governed Parameters

The protocol design separates concerns that require on-chain code changes from those that can be adjusted through governance parameters.

### Economic Parameters

## Smart Contract Upgrades

### Upgrade Mechanism

The protocol uses upgradeable proxy contracts with strict governance controls:

     * Code changes (diff and full contracts)
     * Security audit report
     * Economic impact analysis
     * Rollback plan

  2. **Discussion:** Minimum 14-day discussion period

  3. **Voting:** Token vote requiring:
     * > 66% approval
     * > 20% turnout
     * Separate security council approval

  4. **Timelock:** 7-day timelock after approval

  5. **Execution:** Upgrade executed, 48-hour monitoring period

  6. **Rollback:** Emergency rollback possible within 48 hours

**Upgradeable Components:**

**Non-Upgradeable Components:**

* Core security primitives
* Proof verification (only through verifier registry)
* Governance mechanism itself (requires migration)
* Treasury multi-sig (requires full governance vote)

### Emergency Pause

  **Emergency Pause Powers:**

  Limited emergency pause capability exists for critical security situations:

  **Scope:**

  * Can pause new order creation
  * Cannot pause existing order settlement
  * Cannot freeze user funds
  * Cannot modify parameters

  **Duration:**

  * Maximum 48 hours
  * Automatic unpause after expiry
  * Requires security council multisig
  * Must publish reason within 1 hour

  **Accountability:**

  * All emergency actions logged on-chain
  * Post-incident report required within 7 days
  * Governance can revoke pause power if misused

## Pre-TGE Governance

### Current Structure (Pre-TGE)

Before token launch, the protocol is governed by a multisig council:

**Multisig Council:**

* 5-of-7 multisig for routine parameter changes
* 4-of-7 multisig for emergency actions
* Published member list (see below)
* All actions transparent on-chain

**Council Members:**

1. Core protocol developers (2 members)
2. Security auditors (1 member)
3. Community representatives (2 members)
4. Legal/compliance advisor (1 member)
5. External technical advisor (1 member)

**Published Constraints:**

* Cannot change fee structure by more than 20% at once
* Cannot modify limits without risk analysis
* Cannot add new verifiers without security review
* All decisions must be publicly justified
* Emergency actions require post-incident review

### Transition Plan

The protocol will progressively decentralize:

**Phase 1 (Current): Multisig Council**

* 5-of-7 multisig
* Published members and constraints
* All actions transparent
* Community input via forums

**Phase 2 (Post-TGE, Month 1-3): Hybrid Governance**

* Multisig retains emergency powers
* Token holders vote on non-critical parameters
* Gradual handoff of decision-making
* Education and tooling for governance participation

**Phase 3 (Month 3-6): Token Governance Dominant**

* Token holders control most parameters
* Multisig limited to emergency pause only
* Security council (elected) advises on technical matters
* Governance delegates emerge

**Phase 4 (Month 6+): Full Decentralization**

* Complete token-holder control
* Multisig dissolved or converted to time-delayed executor
* On-chain governance execution
* Mature governance practices and culture

## Post-TGE Token Governance

### Governance Token

The protocol token serves as the governance token:

**Voting Power:**

* 1 token = 1 vote (linear)
* Optional delegation to governance experts
* Voting power snapshot at proposal creation
* No lock requirement for voting (liquid governance)

**Proposal Submission:**

* Requires 10,000 tokens or 10 delegate endorsements
* Prevents spam while remaining accessible
* Exemptions for critical security proposals

### Governance Process

    * Contract upgrades: 7-day timelock
    * Emergency actions: No timelock (if approved via emergency process)

    Proposal automatically executes after timelock expires. Any token holder can trigger execution.

    48-hour monitoring period after execution. Emergency rollback possible if critical issues discovered.

### Quorum Requirements

Different proposal types require different quorums:

**Parameter Changes:**

* Quorum: 10% of tokens
* Approval: >50% of votes

**Contract Upgrades:**

* Quorum: 20% of tokens
* Approval: >66% of votes
* Security council must approve

**Treasury Spending:**

* Quorum: 15% of tokens
* Approval: >50% of votes

**Constitutional Changes:**

* Quorum: 30% of tokens
* Approval: >75% of votes
* Two-stage voting process

### Delegation

Token holders can delegate voting power:

**Delegate Benefits:**

* Enables passive holders to participate

## Treasury Governance

The protocol treasury is governed by token holders:

## Governance Philosophy

  1. **Credible neutrality over convenience.** Changes go through transparent governance with guardrails (timelocks, narrow pauses, audits).

  2. **Minimize governance where possible:** Parametrize, don't micromanage. Let the protocol run itself where it can.

  3. **Public safety valves:** Oracle circuit breakers, verifier sunsets, and emergency pauses with automatic expiry protect users.

  4. **Open bounty mindset:** Pay to find flaws early; publish fixes openly. Security through transparency.

  5. **Progressive decentralization:** Start with safety training wheels, remove them as the community matures.
